Revival:

If one has neglected to file their Annual Returns and has had their company "struck" from the corporate registry, then we would need to do a revival of that company.  It is as much work as just incorporating a new company, however, you may want your original company to be revived.  We can assist with this and get your company back on its feet again.

Name Change:

Numbered company -- sometimes one is in a hurry to incorporate and do not yet have a "name" that they want to use.  Corporate registry will just assign a number to a new company.  For example: it will be incorporated as 1234567 Alberta Ltd., and then you are good to go.  However, at some point you may wish to change the name to something more appropriate.

Name Change -- will require a Nuans name search to ensure that the name you choose is not already being used.  There is a cost for this and you can do the search through us or at any registries office.   Once you have the name without a conflict, then we can assist you to have the name of your numbered company officially changed to the new name.

Change in Directors / Address:

Corporate Registry demands that it be kept up to date with any and all changes.   We can assist with keeping your company up to date both with Corporate Registry and your Minute Book.

Service Address-- is very important as this is the "official" address of the company where all important notices, documents, lawsuits, etc., can be served upon the company.  This needs to be kept up to date.

Change in Directors-- again, we can assist you with adding, deleting or making changes to any directors of your company.

Alberta Corporations are incorporated pursuant to the laws of Alberta.  However, sometimes one wishes to extend their businesses to other provinces.  This can be done easily enough, however, it is almost akin to incorporating again, but in another province.  For example:  if you wish to transact business and be incorporated in British Columbia, we can assist you with that, but you must establish a registered office in British Columbia and we have worked with lawfirms in both BC and Saskatchewan to do this.  Most of the same rules apply regarding an annual return update.

Share Sale Agreements:

We can assist you with the preparation of a share sale agreement.  Whether it is the sale of a business or just the sale of shares, we can sit down and discuss what exactly your needs are and what has to be prepared.
